I think the Paramount-Warner merger is in a lot of trouble. It's clear to me, reading the judge's ruling carefully, that there's going to be a long and drawn-out trial, which will cost antsy financial backers potentially billions. Backing out is no longer out of the question.

What about torts? So, an AIC can commit torts. Unless there is a strict liability regime imposed on AIC torts, there is almost zero chance that our current negligence-based system will work. Negligence is just another form of scienter
Back to Skynet…I mean the proposed AIC in Delaware. They say “don’t worry, the AIC is still subject to criminal laws. So…” It’s been a while since my 1L Criminal Law class, but for almost all crimes, “scienter” is an element. An AI Agent managing an AIC is INCAPABLE of scienter.
No need to worry. The AIC will be adequately capitalized. Excuse me. What does that even mean?
